Request for Quote – Independent Governance Review

The Federation of Victorian Traditional Owner Corporations is seeking to engage an independent governance advisor to lead the organisation’s first-ever governance review.

 

The review will genuinely examine all aspects of the Federation’s current membership model governance – nothing is off the table – including whether the model remains the right basis for representation and advocacy legitimacy.

This review is driven by the Governance Alignment Sub-committee (GAS) of the Federation’s Board of Directors. The independent reviewer will report to the GAS, working closely with the Federation’s CEO and Board Secretary. The review is to be completed by February 2027.

Scope of work

The successful consultant will lead a review covering, at minimum:

  • The membership model itself, including whether the current membership model should remain the basis for representation and advocacy legitimacy.
  • Board composition, nomination rights, and skills/representation balance.
  • Decision-making rights and thresholds, including for constitutional change.
  • How the Federation engages with, and reflects the interests of, all 12 recognised Traditional Owner Corporations – not only current members.
  • Entity structure and any legal/constitutional implications of change.
Deliverables and timeframe

The review is to be delivered in five phases between September 2026 and February 2027, as set out in the request for quote. Respondents should propose a methodology and timeline against these phases, noting timeframes may be refined.
